This Confidentiality Agreement (“Agreement”) is entered into on this 22nd day of March, 2024 (“Effective Date”), by and between SoftPersonal (referred to as “Company”), located at [Your Address], and Waseem Iqbal (“Client”), whose contact information is provided as follows:

WHEREAS, Company is a web design agency based in the USA, specializing in providing web design and related services;
AND WHEREAS, Client desires to engage the services of Company for the purpose of [Brief Description of Services];
AND WHEREAS, Client acknowledges that in the course of receiving services from Company, Client may have access to confidential information belonging to Company;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
- Confidential Information: “Confidential Information” shall mean any and all information disclosed by Company to Client, whether orally, in writing, or by any other means, which is identified as confidential or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, but is not limited to, proprietary information, trade secrets, business plans, strategies, client lists, pricing information, and any other information marked as confidential.
- Non-Disclosure: Client agrees not to disclose, reveal, or make use of any Confidential Information obtained from Company for any purpose other than the purpose of engaging services from Company. Client shall take all reasonable measures to protect the confidentiality of the Confidential Information and prevent it from falling into unauthorized hands.
- Exceptions: The obligations of confidentiality shall not apply to any information which: (a) is or becomes publicly available without breach of this Agreement; (b) is rightfully received by Client from a third party without restriction on disclosure; (c) is independently developed by Client without reference to or use of Company’s Confidential Information; or (d) is required to be disclosed by law or court order, provided that Client gives Company prompt notice of such requirement to afford Company the opportunity to seek a protective order or other appropriate remedy.
- Return of Materials: Upon termination of services or upon Company’s request, Client shall promptly return to Company all materials, documents, or other tangible manifestations of Confidential Information provided by Company.
- Term: This Agreement shall remain in effect for the duration of Client’s engagement with Company and for a period of [specify duration, e.g., three (3) years] thereafter.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], USA.
